Confidentiality Agreement

Prior to participating on an Equity Entrepreneur© Workshop run by Equity Entrepreneur (Education) cic I hereby agree that all and any information without restriction as to nature or manner of delivery supplied to me by any company or presenter on the Workshop, or howsoever otherwise relating to any such company or presenter, its financial or business arrangements and the provision of services (other than any such matters as are in the public domain) shall be treated by me as secret and confidential.

In the event that the information is used for the purpose of deciding whether to enter into discussions or negotiations with any such company or presenter I hereby agree to inform Equity Entrepreneur© immediately and to be bound by the terms of introduction of the company or presenter.

In the event that I enter into discussions or negotiations with any such company or presenter neither I (nor any associated company or business) nor any of my respective partners, directors or other officers or employees, nor my professional advisors, will at any time:

1. disclose to any third party information pertaining to any company or presenter on the Workshop;
2. disclose to any third party the existence of any negotiations relating to any company or presenter on the Workshop;
3. use the information otherwise than for the purpose of considering a financial or commercial agreement with any company or presenter on the Workshop;
4. disclose or use any of the information supplied to me in the Workshop of the negotiations, otherwise than for the purpose of considering investment in the business in question.

On request, I shall forthwith return to Equity Entrepreneur© or any of its partners any accounts, Business Plan, brochures or any other information which may have been provided.

These provisions shall not apply to:

1. information which I can show to the reasonable satisfaction of Equity Entrepreneur© or its partners was within my possession prior to its receipt hereunder;
2. information which I receive from a third party (other than a third party acting at the request of Equity Entrepreneur© or its partners in connection with the matter) with good legal title thereto and without restrictions on disclosure or use.

This agreement is given by me in consideration for Equity Entrepreneur© providing the aforesaid information on or as part of a Workshop, and it is to be clearly understood that this shall constitute sufficient consideration for my being legally bound in respect of this undertaking, which Equity Entrepreneur© or its partners or presenters may enforce by way of a claim for an injunction for damages as appropriate against me should I breach this undertaking.

I further confirm that I know of no conflict of interest which exists with my reviewing and dealing with this matter.

For the purpose of avoidance of doubt, this agreement shall remain in force and binding throughout the Equity Entrepreneur© Program for all future introductions from Equity Entrepreneur© or any of its partners

Disclaimer

I acknowledge that my sole purpose in attending the Equity Entrepreneur© Workshop is to find out more about Private Equity investments and what Investors are looking for. I acknowledge that I might be asked to make a presentation to the Workshop and that my business plan might be a subject of discussion on the Workshop but neither of these is guaranteed and my application to participate on the Workshop is not conditional upon making a presentation to the Workshop or my business being the subject of discussion on the Workshop.
